Closing or Restructuring a China Entity: Deregistration Done Right
China Field Notes · by Daona · 14 min read
A Chinese company does not end when you stop using it. It ends when the registry deregisters it — after creditors, employees, the tax bureau and the bank have been dealt with. Walking away is the most expensive exit, and the people who pay for it are often the legal representative and the shareholders.
The market test did not work; the group is consolidating; a JV partner wants out. At some point a foreign investor asks: how do we close this?
The answer sits in the Company Law (公司法) as revised from 1 July 2024, the Regulations on the Registration and Administration of Market Entities (市场主体登记管理条例), and the Enterprise Deregistration Guidelines (企业注销指引), revised by six departments in December 2025. There are two formal routes — simplified (简易注销) and ordinary (一般注销) — plus alternatives. There is no lawful way to let a company quietly lapse.
| Exit | When it fits | Main cost |
|---|---|---|
| Simplified 简易注销 | No debts or all paid; clean records | Weeks, if eligible |
| Ordinary 一般注销 | Any company | Months: liquidation, creditors, tax |
| Equity transfer 股权转让 | A buyer wants licence, staff or premises | Tax on gain; due diligence |
| Merger 合并 | Consolidating group entities | Creditor procedure |
| Suspension 歇业 | Specified causes only | Up to 3 years |
| Walking away | Never | Lists, revocation, personal restrictions |
If debts exceed assets, liquidation becomes court-supervised bankruptcy — involve lawyers from the start.
Conditions (Company Law Art. 240; Regulations Art. 33)
· No debts, or all debts paid
· Liquidation costs, wages, social insurance, statutory compensation, taxes settled
· Written commitment by all shareholders
Publish a 20-day announcement on the National Enterprise Credit Information Publicity System (国家企业信用信息公示系统, GSXT); if no objection, apply within 20 days after it ends. Tax and social insurance status is generally checked by information sharing, but local practice varies.
Generally not available where the company:
· is an FIE in a sector under negative-list special administrative measures;
· is on the abnormal operations list (经营异常名录);
· has frozen or pledged equity or mortgaged movables;
· is under investigation or has unpaid penalties;
· has had its licence revoked or been ordered to close.
The catch: if the commitment is false, shareholders are jointly liable for pre-deregistration debts (Art. 240). Use it only if the company is truly clean.
| Step | Timing |
|---|---|
| Decision to dissolve | Shareholder resolution or other cause |
| Directors, as liquidation obligors (清算义务人), form the liquidation group (清算组) | Within 15 days (Art. 232) |
| Record on GSXT; notify known creditors | Notify within 10 days (Art. 235) |
| Announce in a newspaper or on GSXT | Within 60 days |
| Creditors declare claims | 30 days from notice; 45 days from announcement |
| Clean up assets; liquidation plan | No creditor payments during claims period |
| Pay: costs, wages, social insurance and compensation, taxes, debts, then shareholders | Art. 236 |
| Tax clearance; social insurance, housing fund, customs | Often the longest step |
| Liquidation report; apply to registry | Art. 239 |
| Cancel FX registration, remit, close accounts; chops per local rules | Order agreed with the bank |
Directors carry the duty and can be liable for losses from delay — a real exposure for group executives abroad. If assets are short, the liquidation group must apply for bankruptcy (Art. 237).
Forced deregistration (强制注销, Art. 241): three years after revocation or closure without deregistration, the registry may announce for at least 60 days and strike the company off. Shareholders' and obligors' liability survives. It is not an exit plan.
· Final returns for all taxes; unused invoices cancelled.
· Liquidation income — gains on assets and debts during liquidation — is taxed at the corporate income tax rate (Caishui [2009] No. 60).
· Distribution: the part equal to undistributed profits and surplus reserves is generally a dividend (10% withholding unless a treaty lowers it); any excess over that and the investment cost is a gain, also generally 10%; return of cost is not taxed.
· Earlier years — losses, related-party pricing, stamp duty — can reappear. Clean books shorten the process.
Proceeds are remitted through the bank under FX rules, with tax documents. No shortcuts, and no extracting profits in other forms before closing (Issue 15).
· Contracts terminate on early dissolution (Labor Contract Law (劳动合同法) Art. 44); severance (经济补偿) is payable (Art. 46; caps in Issue 17).
· Pay wages, accrued leave, social insurance and housing fund through the last day.
· Notices and settlements in Chinese, signed. Disputes slow liquidation.
· Foreign staff: handle work permit and residence permit cancellations (Issue 10) so they can move on in good order.
Sell it. An equity transfer avoids liquidation. A foreign seller's gain is generally subject to 10% withholding, often with the buyer as withholding agent. Under Art. 88, if capital is not yet due, the buyer pays and the seller stays secondarily liable (Issue 13). Expect buyer due diligence; register the change and report under the Foreign Investment Law.
Merge it. Absorption into another group company needs a merger agreement, notice to creditors within 10 days and an announcement within 30 days; creditors may demand payment or security.
Suspend it. Only for difficulties caused by natural disasters, accidents, public health or public security events; up to three years in total; not for companies on the abnormal list. A slow market does not qualify, and annual reports and tax returns continue.
· Missed annual reports (Issue 18) or an invalid address → abnormal operations list.
· Three years on it → serious illegal and dishonest list (严重违法失信名单).
· Licence revoked; a legal representative personally responsible cannot be a director, supervisor or senior manager for three years (Art. 178).
· Unpaid taxes can lead to restrictions on the legal representative, including limits on leaving China.
· Creditors can still pursue shareholders and obligors, even after forced deregistration.
Most provinces offer online deregistration linked to GSXT, with registry, tax, social insurance, customs and banks sharing information. The December 2025 Guidelines set three tracks — ordinary, simplified and a linked "one-matter" process — and address uncontactable shareholders, lost licences or chops, and legal representatives who cannot act. Local steps differ; confirm with your registry.
A WFOE with ¥2,000,000 paid-in capital ends liquidation with ¥2,600,000 net assets, of which ¥600,000 is undistributed profits and reserves. Parent's cost ¥2,000,000; standard 10% withholding, no treaty:
| Item | Calculation | Amount |
|---|---|---|
| Distribution | Net assets | ¥2,600,000 |
| Dividend portion | Profits and reserves | ¥600,000 |
| Withholding tax | 600,000 × 10% | ¥60,000 |
| Investment gain | 2,600,000 − 600,000 − 2,000,000 | ¥0 |
| Net remitted | 2,600,000 − 60,000 | ¥2,540,000 |
| Route | Statutory floor | Commonly quoted |
|---|---|---|
| Simplified | 20-day announcement | About 1–2 months |
| Ordinary | 45-day creditor window, plus tax clearance | Often 6–12 months+ |
Illustrative. Treaty rates, local practice, tax reviews and disputes change both tax and time.
Decide early, keep filing to the end. Annual reports, tax returns and social insurance continue through liquidation.
Clean before you close. Receivables, supplier balances, disputes, tax reconciliations.
Simplified only if truly clean. The commitment is personal.
Look at a sale first. A licence, lease and team have value to someone.
Protect your legal representative. Their name stays on record until the company is gone.
Use licensed help. Liquidation, tax clearance and terminations are handled by law firms, accounting firms and licensed tax agents. Daona is not a law firm or accounting firm; we coordinate and introduce, and government and licensed firms' fees are settled by the client at cost.
"If we stop trading, it closes itself." It falls onto risk lists.
"Simplified is just a faster form." It rests on all shareholders' personal commitment.
"Directors abroad are not affected." They are the liquidation obligors.
"Liquidation means no severance." Severance is payable on dissolution.
"Leftover cash can go home once we decide." Only after debts, staff and taxes, through the bank.
"Forced deregistration solves it." It removes the company, not the liability.
